Speckles Wholesale Terms & Conditions

 

 

(Speckles Hide&See- Pixar's Elio Licensed Eye Patches – USA & Canada)

 

Effective Date: July 1, 2025 – June 30, 2026
 Applies to: Eye clinics and wholesale customers of Speckles Optics Pty Ltd (“Speckles”) purchasing Disney & Pixar licensed Elio eye patches (“Products”) for resale in the United States and Canada.

 

1. Territory Restriction

  • Products may only be sold and distributed within the United States and Canada.

  • Export, distribution, or resale of Products into any other country is strictly prohibited.

 

2. Authorized Customers & Sales Channels

  • Eye Clinics are authorized to sell Products directly to their own patients only. Clinics may not resell, transfer, or distribute Products to any other businesses, retailers, or third parties.

  • Only Speckles may supply Products to other businesses or wholesalers.

  • The only permitted sales channels for eye clinics are:

    • In-clinic sale directly to patients/families.

    • No online or marketplace sales unless expressly approved in writing by Speckles.

 

3. Prohibited Customers

  • Clinics and wholesale partners may not sell to:

    • Other eye clinics, pharmacies, or medical practices.

    • Retailers or etailers.

    • Wholesalers, distributors, or third-party resellers.

 

4. Intellectual Property & Branding

  • The Products are licensed under an agreement with The Walt Disney Company.

  • Products must remain in their original packaging and branding. No repackaging, relabeling, or alterations are permitted.

  • Use of Disney, Pixar, Marvel, or Speckles branding for marketing requires written approval from Speckles.

 

5. Pricing & Resale

  • Wholesale pricing is set by Speckles. Clinics must not alter pricing in a way that damages the brand or licensing obligations.

  • Clinics may apply standard markups for resale to patients but may not engage in bulk resale to other businesses.

6. No Diversion

  • Products are strictly for direct patient sale within your own clinic.

  • Diversion of Products to unauthorized businesses, distributors, or export channels is prohibited and considered a breach of these Terms.

 

7. Termination

  • Any breach of these Terms & Conditions may result in immediate termination of your wholesale account.

  • Speckles reserves the right to enforce The Walt Disney licensing restrictions, including reporting violations directly to The Walt Disney Company


8. Governing Law

These Terms & Conditions are governed by the laws of Victoria, Australia, in accordance with Speckles’ licensing agreement with The Walt Disney Company.
